LRL is wholly owned by ZCCM Investments Holdings Plc (ZCCM-IH). The majority shares of ZCCM-IH are held by the Industrial Development Corporation (IDC) which is wholly owned by the Government of the Republic of Zambia (GRZ).
LRL production facilities include a Quarry, fixed and mobile Crushing Plants, two (02) Vertical Kilns (Old and New), a Rotary Kiln, New Hydrating Plant, Coal/Quicklime Milling Plant, a Packaging and Bagging plant with associated support infrastructure.
The plant is 12km road distance from the Ndola Central Business District, and 7km road connection to the Great North Road at ZESCO Skyways Substation.

 

The Position

The company is seeking a vision-driven, strategic and seasoned corporate leader to become Chief Executive Officer (CEO). The CEO will advance and build on the vision, mission, and commercial development of Limestone Resources Limited and ensure that all business operations are in line with the Company’s strategic plan. The CEO reports directly to the Board of Limestone Resources Limited and will be responsible for leading the Executive Team to drive Company growth and generate sustainable shareholder value and returns. The Chief Executive Office is responsible for providing strategic leadership and vision to the Company by working with the Board of Directors and the Management Team to establish, implement and over-see the goals, strategies, plans and policies of the Company, subject to the direction and oversight of the Board of Directors.

The Chief Executive Officer should have a balanced combination of an understanding of mining, people management and commercial management experience. The ideal candidate will bring clear commercial and strategic focus to the Company.

During 2023, LRL continued to build up on the knowledge and experience of operating the modified VK2 which was fired in October 2022 after nearly 6 years of being idle. The modification and the prolonged idle time presented initial challenges which took time to resolve. VK 2 was the only operational kiln at the company as no restoration repair works were carried out on VK1, while the Rotary kiln remained mothballed.  

Production from VK2 was an average of 140 tonnes per day against the kiln’s capacity of 500 tonnes per day due to technical limitations on the kiln’s operating mode. Another key stumbling block to attain nameplate capacity was a lack of reliable mining equipment and a frequently malfunctioning crushing plant.  

Revenue for the year was ZMW96.7 million, a notable increase from ZMW26.8 million in 2022. The company made a loss of ZMW180.74 million (2022: ZMW90.81 million).

  1. Introduction

ZCCM Investments Holdings PLC (“ZCCM-IH” or the “Company”) is an investment holding company with significant interests in the Zambian mining industry. ZCCM-IH also has exposure to the financial services, energy and real estate sectors.
The Company has a primary listing on the Lusaka Securities Exchange, and secondary listings on the Paris Euronext and London Stock Exchanges.
The Zambian Government (GRZ) directly holds 17.25% shares in ZCCM-IH through the Ministry of Finance, and 60.28% indirectly through the Industrial Development Corporation (IDC), an investment company wholly owned by the Zambian Government. Resources Limited (LRL)/ Ndola Lime Company Limited Extract from 2022 Annual Report

Limestone Resources Limited (LRL) was barely operational for the most part of the year as both primary kilns (VK1 and VK2) were not functional. The collapse of refractory bricks on VK1 in 2021 had not yet been resolved while the historical fuel system challenges on VK2 were only resolved in July 2022. These works included multiple modifications to have the kiln operate using coal as the fuel, a much cheaper commodity than Heavy Fuel Oil in the original design.  

ZCCM-IH provided working capital funding to ignite and commission the kiln in August 2022 and the Kiln was fired up in September 2022. Even though the kiln is operational, it takes several months to attain stability in quality and production as different operating parameters are monitored and observed, and adjustments made accordingly. Further, LRL was not adequately capitalised for a long time and therefore continued to experience underperformance of its operating plant and equipment.  

ZCCM-IH continued to support the Company for its turnaround strategies.  

As a result of only being productive for the last 3 months of the year, LRL’s performance was substantially impacted, recording revenue of only ZMW26.8 million (2021: ZMW 119 million). The loss for the year was ZMW90.78 million (2021: ZMW39.7 million).

Limestone Resources Limited (LRL) Extract from 2021 Annual Report

2021 was the first full calendar year of operations for Limestone Resources Limited (LRL), which only commenced operations on 1 September 2020 after transitioning from Ndola Lime Company Limited (NLC). NLC, remains under liquidation. 

As at December 2021, LRL was yet to be capitalised as ZCCM-IH was still running the process of engaging an equity partner with whom a long-term strategic plan for the Company would be developed. 

The lack of adequate capital posed a challenge and the Company underachieved across all performance metrics as production fell substantially below installed capacity due to reliability issues with the plant and equipment. Total sales revenue for the year was recorded at ZMW119.00 million (2020: ZMW34.76 million). The loss over the same period was ZMW39.78 million (2020: ZMW3.71 million). 

On 17 October 2021, LRL’s only functioning Kiln (VK1) experienced a collapse of its refractory bricks, leading to a halt in quicklime production. Since then, no production has been going on at LRL, pending financial resources for repair and maintenance works. 

ZCCM-IH has prioritized the selection and engagement process of an equity partner and is optimistic of completing the process within the first half of 2022 to ensure full recapitalisation of LRL that will substantially improve operational and financial performance.

Ndola Lime Company Ltd Extract from 2019 Annual Report

During the year, two former employees of NLC made an application to initiate Business Rescue Plan proceedings against the Company. An Interim Business Rescue Administrator
was appointed to run the affairs of NLC.

ZCCM-IH made an application in court challenging whether NLC qualifies to be put under Business Rescue Operations. The matter is still undergoing a court process.

Ndola Lime Company Limited (NLC) reported total revenues for the financial year ended 31st March 2019 of ZMW74.3 million (2018: ZMW60.1 million) and a loss after tax of ZMW234 million (2018: ZMW 187 million loss).

Limestone Resources Limited (LRL) Extract from 2020 Annual Report  

Limestone Resources Limited (LRL) commenced operations on 1st September 2020 transitioning from Ndola Lime Company Limited (NLC). Limestone Resources Limited (LRL) reported total revenues for the financial year ended 31st December 2020 of ZMW 34.76 million and a loss after tax of ZMW3.7 million. There were no dividends declared during the year under review (31 December 2019: Nil).  

ZCCM-IH | Press Statement on the status of Ndola Lime Company Limited

09 November 2018, Lusaka – ZCCM Investments Holdings Plc would like to dismiss and refute claims circulating on social media that Ndola Lime Company Limited (NLC) is being sold by ZCCM-IH. These claims are unfounded and false.

The position is that two former NLC employees applied to Court to place the company under supervision pursuant to the Corporate Insolvency Act No. 9 of 2017. By order of the Court dated 5th October 2018, the Official Receiver was appointed as Interim Business Rescue Administrator of NLC. ZCCM-IH is seeking legal redress regarding the aforementioned proceedings.

ZCCM-IH has over the past 10 years invested over K1 billion in NLC in form of debt and equity in an effort to turnaround the loss-making operations of the Company into profitability.

However, NLC has faced several challenges among these being technical, financial, market and human resource issues. The plant has been unable to produce to nameplate capacity because of failure to fully commission and optimise the new coal fired vertical kiln (“VK2”) due to technical factors.

In addition, the company has been reporting losses over the past seven years with a current debt stock standing at approximately K800 million.

ZCCM-IH remains committed to the affairs of NLC and will continue to pursue all activities that better the Company and ZCCM-IH’s investment. Part of this includes the consideration of engaging technical staff from NLC to work in the ZCCM-IH new Cement Plant in Masaiti, as the technical processes and operations are similar.

Ndola Lime Company Ltd Extract from 2018 Annual Report

Ndola Lime Company Limited (NLC) reported total revenues for the financial year ended 31st March 2018 of K60.1 million (2017: K89.6 million) and a loss after tax of K190 million (2017: K1.1 billion loss).

Major contributors to the loss were the below budget sales figures, huge finance costs; and penalties on overdue statutory obligations totalling K100 million.

On 21st September 2017, NLC’s Vertical Kiln 2 (VK2) was engulfed in flames, an occurrence that damaged several components of the kiln, rendering it dysfunctional. VK1 underwent refurbishments to its refractory bricks but could not be fired up due to NLC’s lack of working capital, a situation that eventually led to production at the company grounding to a halt with only limited repacking activity going on.

Subsequent to the year end, two (2) former employees of Ndola Lime Company Limited (NLC) instituted proceedings to the High Court of Zambia to place NLC under supervision pursuant to the Corporate Insolvency Act No. 9 of 2017. By order of the Court dated 5th October 2018, the Official Receiver was appointed as Interim Business Administrator of NLC. The application for the Business Rescue Proceedings will be heard in January 2019 at which all affected persons (including ZCCM-IH) will be heard. However, ZCCM-IH remains committed to the affairs of NLC and will continue to pursue all activities that better the Company and ZCCM-IH’s investments.
